Standard Terms & Conditions for Moneyfacts Events – Table Bookings

 

The following standard terms and conditions refer to any event arranged and or hosted by Moneyfacts Group plc, including, but not limited to, any awards or conferences.

 

Table bookings for any Moneyfacts Event are subject to the following terms and conditions:

 

  1. Definitions

‘Associated Person’ means any person who performs services for either party in respect of the Table Booking including but not limited to employees, agents and members of its corporate group;

‘Customer’ means the company, partnership or person making a Table Booking.

Event’ means any of the Moneyfacts Awards, Moneyfacts Business Awards, Moneyfacts Life & Pensions Awards, Moneyfacts Consumer Awards or any other awards or events that Moneyfacts may host from time to time.

Moneyfacts’ means Moneyfacts Group plc, a company incorporated in England, company registration number 4063110, registered office Moneyfacts House, 66-70 Thorpe Road, Norwich NR1 1BJ.

Supporters/Sponsors Package’ means a bespoke Table Booking where the Customer’s logo is shown at the Event, in pre or post Event publicity and on tickets.

Table Booking’ means the reservation of one or more seats at a table at any Moneyfacts Event as per the completed Table Booking Request Form.

Venue’ means the venue as stated on the Table Booking Request Form, or such other venue to be advised by Moneyfacts at its sole discretion.

 

  1. Scope
    • The parties intend to enter into a legally binding agreement for the reservation of seats/tables at a Moneyfacts Event, on the following terms.
    • These terms and conditions apply to all Table Bookings accepted by Moneyfacts. The signing of a Table Booking Request Form by the Customer shall be deemed to be acceptance of these Terms and Conditions.
    • Moneyfacts shall undertake reasonable endeavours to ensure that the event to which the Table Booking applies takes place as planned but makes no warranty to this effect.

 

  1. Rights and Obligations
    • Customers must supply the details of any special dietary requirements and names of all attendees prior to the date stipulated by Moneyfacts.
    • Logos for Supporters/Sponsors Packages will only be shown if the logo is supplied by the Customer prior to Moneyfacts’ deadline and in accordance with the minimum size requirement (minimum logo size: 14mm x 3mm surrounded by minimum white space: 3mm), and in any event only after the Table Booking is confirmed.
    • Customers may invite attendees to their table, however journalists are not permitted at the Event, including as attendees, unless expressly approved by Moneyfacts prior to the Event.
    • Moneyfacts may, at its discretion, issue tickets to Customers in advance of payment, however tickets will be invalid and the Customer may be refused access if payment has not been received in accordance with Clause 4.3.

 

  1. Costs, Invoicing and Payment
    • Costs for any Table Bookings may vary depending on the number of seats reserved and the particular package being selected. Subject to Clause 3.4 above, costs are shown and agreed in advance, not inclusive of VAT at the rate applying at the time of the booking. The cost of any Table Booking cannot be changed by either the Customer or Moneyfacts after the booking has been made.
    • Where any specific dietary requirements result in additional cost to Moneyfacts, Moneyfacts reserves the right to pass this additional cost onto the Customer.
    • Where a Customer has been granted a credit account with Moneyfacts, payment must be made within 30 days from date of an undisputed invoice. Where a Customer does not have a credit account with Moneyfacts, payment will be due immediately upon receipt of an undisputed Moneyfacts’ pro-forma invoice.
    • In the event that the Customer disputes all or part of an invoice, the Consumer shall notify Moneyfacts of its dispute within 5 business days of the date of the invoice. Any parts of an invoice which are not disputed shall be paid in accordance with clause 4.3.

 

  1. Cancellation
    • Table Bookings are non-cancellable and non-refundable. No refunds will be given for non-attendance, for whatever reason, of one or more individuals within a Table Booking.
    • Should any Moneyfacts Event be cancelled for any reason, the Event will be rescheduled and any refunds will be at Moneyfacts’ sole discretion.
    • By confirming your Table Booking you agree that you are authorised to bind the Customer to these Standard Terms and Conditions and that payment will be made in accordance with clause 4.3 above.
    • In the event of non-payment by the Customer in accordance with clause 4.3, Moneyfacts shall terminate the Table Booking and may re-sell the seats and/or table to other customers.

 

  1. Intellectual Property
    • ‘Moneyfacts’ and its derivatives are registered trade marks. Use of the Moneyfacts name in marketing materials is restricted and must be licenced by Moneyfacts.

 

  1. Liability
    • Moneyfacts shall under no circumstances be liable to the Customer, whether in contract, tort, breach of statutory duty or otherwise, for any loss of profit or any indirect or consequential loss arising under or in connection with the Table Booking.

 

  1. Data Protection
    • Each party shall comply with all applicable data protection and privacy legislation in force from time to time. Each party shall ensure that their acts and omissions under the agreement shall not result in the other party breaching any data protection laws and each party shall comply with all requirements necessary to enable both parties to comply with its obligations under any data protection laws.
    • The personal data of any employee or representative of the Customer processed by Moneyfacts in the course of the Table Booking is processed under the legal basis of performing the contract.
    • Moneyfacts will process personal information about attendees of each Event. The names and employer or attendees will be published at the Venueg. on table plans and table places. Such processing is essential for the smooth running of the Event and personal data is processed under the legal basis of performing the contract.
    • Moneyfacts reserves the right to publish photographs taken at the Event in any media, which may include images of attendees. It is in Moneyfacts’ legitimate interests to process information in this way for publicity and promotional purposes. It is the responsibility of the person arranging the Table Booking on behalf of the Customer to ensure that all the Customer’s attendees are aware of the contents of this clause.
    • Moneyfacts will use the contact data supplied to administer your Table Booking and may contact you regarding relevant business opportunities or relevant future Events. Such contact will be in our legitimate interests.

 

  1. General
    • The failure or delay of Moneyfacts to exercise or enforce any right under these Terms and Conditions shall not operate as a waiver of that right or preclude the exercise or enforcement of it at any time or times thereafter.
    • The original Table Booking Request Form and these Terms and Conditions together contain the entire agreement between Moneyfacts and the Customer and supersedes and replaces all prior agreements, negotiations and discussions between Customer and Moneyfacts relating to it. Each party acknowledges that by entering into this agreement it places no reliance on any statement, warranty or representation other that those expressly set out in these Terms and Conditions. Any other proposed condition shall be void unless incorporated clearly in writing in the Table Booking Request Form and. Once agreed, no variation of these Terms and Conditions shall be valid unless it is in writing, including email, and agreed by an authorised representative of both Customer and the Moneyfacts such agreement to be demonstrable in writing.
    • The Customer shall not be entitled to assign any of its rights or obligations conferred by these Terms and Conditions without Moneyfacts’ prior written consent.
    • The Contracts (Rights of Third Parties) Act 1999 shall not apply and no third party shall have any right to enforce any term of these Terms and Conditions.
    • This agreement shall be governed and construed in accordance with English law and Moneyfacts and Customer each hereby irrevocably submits to the exclusive jurisdiction of the English Courts.
    • Neither party will be liable to the other party for any delay, or failure to perform its obligations, as a result of any cause beyond its reasonable control including, but not limited to, any industrial dispute, act of God, governmental act, war, fire, flood, explosion or civil commotion. The performance of the delaying party's obligations, to the extent affected by the delay, shall be suspended during the period that the cause persists.
    • Each party warrants and represents that: (a) at the   commencement  of   these  Terms  and   Conditions,  it  has in  place adequate procedures to prevent any act of bribery (as that term is defined in the Bribery Act 2010) being committed by it or any of its Associated Persons; (b) the   procedures  referred  to  in  clause  7 (a)  will  be  maintained; and (c) it  and  its  Associated  Persons  will  not do anything which could contravene the Bribery Act 2010 or cause the other party to contravene the Bribery Act 2010.
    • Each party warrants and represents that it and its Associated Persons shall not engage in any activity, practice or conduct which would constitute either (a) a UK tax evasion facilitation offence under section 45(5) of the Criminal Finances Act 2017, or (b) a foreign tax evasion facilitation offence under section 46(6) of the Criminal Finances Act 2017, and shall have and maintain in place such policies and procedures as are both reasonable to prevent the facilitation of tax evasion by its Associated Persons and to ensure compliance with this clause.
    • Each party warrants and represents that it and its Associated Persons conduct their business in a manner that is consistent with the principles of the Modern Slavery Act 2015 and shall take reasonable steps to ensure that there is no modern slavery or human trafficking in their supply chains or in any part of their business.

Standard Terms & Conditions for Moneyfacts Events – Table Bookings

 

The following standard terms and conditions refer to any event arranged and or hosted by Moneyfacts Group plc, including, but not limited to, any awards or conferences.

 

Table bookings for any Moneyfacts Event are subject to the following terms and conditions:

 

  1. Definitions
